SupaLedger — Terms of Service

1. Acceptance of Terms

By accessing or using SupaLedger ("Service"), operated by Field Elevate Management LLC ("Company," "we," "us"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.

2. Description of Service

SupaLedger is a cloud-based small business operating system providing accounting, invoicing, CRM, scheduling, estimates, bill pay, check writing, bank reconciliation, and AI-powered business tools. The Service includes a web application and API integrations, including a Model Context Protocol (MCP) connector for use with Claude (Anthropic).

You must provide accurate and complete information when creating an account. You are responsible for maintaining the confidentiality of your credentials and for all activities under your account. Notify us immediately of any unauthorized use.

You retain all ownership rights to your data. We do not claim ownership of any content you upload, create, or store in SupaLedger. Your data remains in your organization's database and is never sold, shared with third parties (except as required for Service operation, such as Anthropic for MCP connector queries), or used for training AI models.

6. MCP Connector (Claude Integration)

The MCP connector provides read-only access to your financial data through Claude (Anthropic's AI assistant). By enabling this connector:

7. Multi-Tenant Isolation

Each organization's data is isolated through row-level security policies. You can only access data for organizations where you are a verified member. We enforce this at the database level — not just the application level.

8. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access. The Service may be temporarily unavailable for maintenance, updates, or circumstances beyond our control. We are not liable for any loss resulting from Service downtime.

9. Payment Terms

Certain features may require a paid subscription. Payment terms, pricing, and billing cycles will be communicated at the time of purchase. All fees are non-refundable unless otherwise stated.

10. Intellectual Property

The Service, including its code, design, documentation, and branding, is the property of Field Elevate Management LLC and is protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Service for its intended purpose.

11. Limitation of Liability

To the maximum extent permitted by law, Field Elevate Management LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service. Our total liability shall not exceed the amount you paid for the Service in the 12 months preceding the claim.

12. Termination

Either party may terminate this agreement at any time. Upon termination, your right to use the Service ceases immediately. We may retain your data for a reasonable period to allow you to export it, after which it will be deleted.

13. Changes to Terms

We may update these Terms from time to time. Material changes will be communicated via email or in-app notification. Continued use of the Service after changes constitutes acceptance of the updated Terms.

14. Governing Law

These Terms are governed by the laws of the State of Texas, United States, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Texas.
